Western Digital’s $1 Billion Notes Offering

Cleary Gottlieb Steen & Hamilton represented Western Digital Corp, while Cahill represented the underwriters in the offering.

Western Digital Corp executed its debt offering of $500 million aggregate principal amount of 2.850% senior notes due 2029 and $500 million aggregate principal amount of 3.100% senior notes due 2032.

Western Digital intends to use the net proceeds of the offering to refinance existing indebtedness.

BofA Securities, J.P. Morgan, MUFG, Mizuho Securities, RBC Capital Markets, Wells Fargo Securities, SMBC Nikko, BNP PARIBAS, Citigroup, HSBC, TD Securities, Truist Securities, PNC Capital Markets LLC, Siebert Williams Shank, US Bancorp, BBVA, Fifth Third Securities, and Scotiabank acted as underwriters for the offering.
