Polsinelli expands its Investment Strategies & Capital Solutions Practice with the addition of Andrew C. Raby as a shareholder in Chicago. Raby advises private fund sponsors and investment managers on the formation, structuring and operation of alternative investment vehicles, adding further depth to the firm’s private funds and investment management capabilities.
His arrival follows the recent addition of Shareholder David M. Cielusniak in New York, continuing the firm’s growth in advising clients across the alternative investment and investment management landscape.
“Andrew brings significant experience at the intersection of fund formation, investment management and regulatory compliance, further strengthening our ability to advise alternative asset managers and institutional investors throughout the investment lifecycle,” said Brian A. Bullard, Chair of Polsinelli’s Investment Strategies & Capital Solutions Practice. “His understanding of how investment vehicles are structured, operated and regulated will enhance the comprehensive, coordinated counsel we provide to sponsors and investors across a broad range of investment strategies and structures.”
Raby works with sponsors of hedge funds, private equity funds, real estate funds, venture capital funds, commodity pools, funds of funds and related vehicles. He counsels clients on fund and management company structuring, fund terms and provisions, managed account platforms, co-investments, offering documents, marketing materials and investment advisory agreements. He also advises pension plans, endowments, foundations and other institutional investors on alternative investments.
Raby also counsels investment advisers and related entities on compliance with federal securities and commodities laws, including the Investment Advisers Act, Investment Company Act, Commodity Exchange Act, Dodd-Frank Act and Regulation D. His regulatory work includes matters involving the Securities and Exchange Commission, Commodity Futures Trading Commission and CFTC registration.
