McDonald’s Proxy Fight With Carl Icahn

Paul, Weiss represented the board of directors of McDonald’s Corporation in its successful proxy fight with activist investor Carl Icahn.

McDonald’s shareholders overwhelmingly rejected Icahn’s bid to nominate two new directors to the company’s board, with just 1% of shareholders voting for Icahn’s nominees. All 12 existing directors were reelected to the McDonald’s board, and McDonald’s received support for all its existing directors from proxy advisory firms Institutional Shareholder Services (ISS) and Glass Lewis.

The Paul, Weiss team included corporate partners Kyle Seifried (Picture), Scott Barshay and John Kennedy and counsel Patricia Vaz de Almeida, Jason Tyler and Frances Mi; and litigation partner Andre Bouchard.
