Charles Schwab’s $2.2 Billion Debt Exchange Offers

Simpson Thacher advised dealer managers on the offer.

The Charles Schwab Corporation offered to exchange 3.75% Senior Notes due 2024, 3.625% Senior Notes due 2025, 3.3% Senior Notes due 2027 and 2.75% Senior Notes due 2029 issued by TD Ameritrade Holding Corporation. 

Citigroup Global Markets and Credit Suisse Securities (USA), acted as dealer managers and solicitation agents, in the SEC-registered exchange offers. 

Charles Schwab is a savings and loan holding company and engages, through its subsidiaries, in wealth management, securities brokerage, banking, asset management, custody and financial advisory services.
