Ambipar’s Acquisition of Disal

Carey advised Ambipar on the deal

Ambipar, a leader in environmental management, made the biggest acquisition in its history. Disal Ambiental was acquired 100% with the objective of internationalizing the Environment segment’s service portfolio, reaching three countries: Chile, Peru, and Paraguay. From the initiative, Ambipar starts to focus on organic growth and M&A in Latin America, offering environmental management with integrated solutions.

Disal has been operating for 40 years with integrated environmental management solutions in Chile, Peru, and Paraguay, regions where it has a market leadership position and technological vanguard. The focus of action is on the total management of industrial waste, providing solutions for the collection and treatment of solid, liquid, and hazardous waste.

The company intends to complement Disal’s portfolio of services to offer customers in segments that are not yet active, such as pulp and paper, for example, in which Ambipar has proprietary solutions and is the market leader in Brazil. In addition, the objective is to continue with the global expansion plan, also through Environment, in order to assume the leadership of the sector abroad, in addition to generating certifiable carbon credits.

Ambipar’s global expansion plan has already taken emergency services to 16 countries in South America, North America, Antarctica, Africa, and Europe, through organic growth and M&A, making the Response segment a global reference in the sector. In total, there were 13 acquisitions after the IPO, including Disal.

With a diversified portfolio of blue chips clients and long-term contracts for the mining, civil construction, and food sectors, among others, Disal has 2,665 employees, 665 active in 65 branches. It had net revenue of R$503.2 million, EBITDA of R$93.8 million in the last 12 months of May 2021.
