Volcan Compañía Minera’s $110 Million Cash Tender Offer and Consent Solicitation

Linklaters and Estudio Echecopar (Baker McKenzie) advised Citigroup Global Markets Inc. and Santander Investment Securities Inc. on the deal. Shearman & Sterling and Payet, Rey, Cauvi, Pérez represented Volcan.

Citigroup Global Markets Inc. and Santander Investment Securities Inc. acted as dealer managers, in connection with an offer to purchase for cash up to $110 million of its 4.375% senior notes due 2026 (the “Notes”) and solicitation of consents to certain proposed amendments to the indenture governing the Notes in order to conform certain covenants therein to Volcan’s other indebtedness instruments.

Volcan is a diversified Peruvian mining company.
