Regalwood Global Energy Ltd.’s $300 Million Iniitial Public Offering

Davis Polk advised the joint book-running managers in connection with the initial public offering of 30,000,000 units of Regalwood Global Energy Ltd. for aggregate proceeds of $300 million

Each unit consists of one Class A ordinary share and one-third of one warrant to purchase one Class A ordinary share of Regalwood Global Energy Ltd. The units, the shares and the warrants will be listed on the New York Stock Exchange.

Citigroup and J.P. Morgan acted as joint book-running managers.

Regalwood Global Energy Ltd. is an international energy-focused special purpose acquisition company sponsored by an affiliate of Carlyle International Energy Partners, L.P., formed as a Cayman Islands exempted company for the purpose of effecting a merger, share exchange, asset acquisition, share purchase, reorganization or similar business combination with one or more businesses or entities.
