China Mengniu Dairy’s Pre-Conditional Privatisation of Yashili International

Norton Rose Fulbright advised HSBC on the deal, while Zhong Lun advised Yashili International Holdings.

HSBC in its capacity as financial adviser to China Mengniu Dairy (2319.HK) in connection with its pre-conditional privatisation of Yashili International (1230.HK) (“Yashili”) by way of scheme of arrangement. The cash consideration for the privatisation and the acquisition of Yashili shares by China Mengniu is in aggregate approximately HKD 2.79 billion.

Guangdong Yashili Group Co., Ltd. is a leading privately owned infant formula and soymilk products company in China.

China Mengniu Dairy Company Limited is a Chinese manufacturing and distribution company of dairy products and ice cream.
