Vertex Resource Group’s Acquisition of Cordy Oilfield Services

MLT Aikins acted for Vertex on its acquisition of Cordy Oilfield Services.

Vertex Resource Group Ltd. (TSXV: VTX) closed the acquisition of Cordy Oilfield Services Inc. (TSXV: CKK). 

The acquisition was structured as a three-cornered amalgamation under the Business Corporations Act (Alberta) pursuant to which the holders of common shares of Cordy Oilfield received common shares of Vertex and Vertex Energy Services Ltd., a wholly-owned subsidiary of Vertex, amalgamated with Cordy Oilfield resulting in Vertex owning all of the issued and outstanding shares of the amalgamated corporation following the Amalgamation.

In the end, about 18.9 million shares of Vertex – representing 17.2% of the company’s issued and outstanding shares – were issued to Cordy shareholders.

Vertex, headquartered in Sherwood Park, Alta., is an environmental services company serving the energy, mining and industrial, utilities, agriculture and forestry, and government sectors. Cordy provides construction and environmental services to clients throughout Western Canada.
