Nexa’s $500 Million Notes Offering

Nexa Resources S.A. (Nexa) executed an offering of $500 million of its 6.500% senior unsecured notes due 2028. The notes are fully and unconditionally guaranteed by Nexa Resources Cajamarquilla S.A., Nexa Resources Perú S.A.A. and Nexa Recursos Minerais S.A.

The notes were offered in a private placement in the United States pursuant to Rule 144A and outside of the United States pursuant to Regulation S. The offering launched and priced on June 15, 2020, and closed on June 18, 2020.

The net proceeds of the offering will be used to repay a portion of Nexa’s existing financial indebtedness and the remainder, if any, for general corporate purposes.

Nexa is a large-scale, low-cost integrated zinc producer with more than 60 years of experience developing and operating mining and smelting assets in Latin America. Cleary previously represented Nexa in its SEC-registered, dual-listed initial public offering in 2017.
