LAIX Inc.’s Going-Private Transaction

Kirkland & Ellis acted as international counsel to the special committee of the board of directors of LAIX Inc. Skadden, Arps, Slate, Meagher & Flom served as U.S. legal counsel to the Buyer Group. Maples and Calder (Hong Kong) served as Cayman Islands legal counsel to the Buyer Group.

LAIX Inc. (OTC: LAIXY) announced its going-private transaction. A public company in the United States, LAIX is an artificial intelligence company in China that creates and delivers products and services to popularize English learning.

The buyer group consists of, among others, the co-founders and senior management of LAIX and LAIX’s institutional shareholders, including GGV, IDG, Trustbridge and CMC Capital.

The transaction was signed on June 17, 2022 and is expected to close in the second half of 2022.

Houlihan Lokey (China) Limited is serving as financial advisor to the Special Committee.
