KKR, OTPP and PSP Investments’ A$5.2 Billion Acquisition of Spark Infrastructure

Allens has advised a consortium on the acquisition of all issued securities of Spark Infrastructure in an all-cash transaction for approximately A$5.2 billion.

Sydney-based electricity infrastructure owner Spark Infrastructure (ASX: SKI) has been acquired by a consortium comprising KKR, Ontario Teachers’ Pension Plan Board and Public Sector Pension Investment Board in an all-cash transaction for approximately A$5.2 billion.

The transaction was implemented by way of an inter-conditional trust scheme and creditors’ scheme of arrangement.

KKR is a leading global investment firm that manages multiple alternative asset classes, including private equity, credit and real assets, with strategic partners that manage hedge funds.

Ontario Teachers’ Pension Plan Board is an independent organization responsible for administering defined-benefit pensions for school teachers of the Canadian province of Ontario.

Public Sector Pension Investment Board is a Canadian Crown corporation established by an act of Parliament in September 1999.
