First Advantage’s $345 Million Shares Offering

Simpson Thacher represented First Advantage, while Davis Polk advised the representatives of the several underwriters in the offering.

First Advantage announced the $345 million secondary offering of 17,250,000 shares of common stock by certain selling shareholders, which included the exercise in full by the underwriters of their option to purchase 2,250,000 additional shares. First Advantage’s common stock is listed on the Nasdaq Global Select Market under the symbol “FA.”

Barclays Capital Inc. and BofA Securities, Inc. are the representatives of the underwriters for the offering.
