Duane Morris, Veirano and Steptoe & Johnson advised on the deal
Marangoni S.p.A. and Borrachas Vipal S.A. formed a partnership in order form a leading global independent player in the retreading sector. As a part of the agreement, Borrachas Vipal S.A. executed the acquisition of 51% stake in Marangoni Tread North America Inc. in order to increase synergies and productivity.
Marangoni’s presence in the industry covers tread rubber, retreading equipment, rubber compounding and industrial plant engineering. It operates industrial and commercial facilities in Germany, Turkey, the United Kingdom, the U.S., China, Brazil, Russia and South Africa and has 1,100 employees.
Vipal produces tread rubber, curing envelopes and tire repair materials at three plants in Brazil and has customers in 90 countries worldwide. Vipal has 3,000 employees and claims a production capacity of 18,000 metric tons per month.
Vipal has three distribution centers in the U.S., in Los Angeles, Miami and Virginia Beach, Va., to handle customers throughout North American market. The company dedicates one of its three plants to export production.
