In the operation Acque Bresciane S.r.l. was assisted in the whole initiative by Osborne Clarke, while the pool of financiers was assisted by Legance Avvocati Associati.
Acque Bresciane Srl, manager of the water service within the territory of the Province of Brescia, as part of its investment plan for a total value of one billion euros expected by 2045, has completed a loan agreement aimed at combining corporate development and sustainability of tariffs with a pool of banks, coordinated by Intesa Sanpaolo and made up of Cassa Depositi e Prestiti, BNL Gruppo BNP Paribas, Banco BPM, BPER and Iccrea Banca.
The loan, with a total value of Euro 202 million, provides for 95 million in the form of a Green Loan, a credit instrument that allows you to finance projects with a positive impact on the environment which, at the same time, translates into savings on interest for the company , entirely public, and, therefore, for citizens.
Acque Bresciane S.r.l. was assisted in the entire initiative by Osborne Clarke, who, in the phase of finalizing the loan agreement, worked with a team led by partner Andrea Pinto, with the support of the associate Laura Cipollone, while the partner Giovanni Penzo took care the initial due diligence activity and the review of financial documentation, up to the stipulation and disbursement of the loan; the partner Giorgio Lezzi, on the other hand, assisted the company in the entire publicistic procedure for selecting the financiers.
The pool of lenders was assisted by Legance Avvocati Associati, with a team led by senior counsel Simone Ambrogi, assisted by associate Antonino de Sebastiano.
Legance supported the banks both in the preparation phase of the offer and the term sheet in the context of the selection procedure of the lenders initiated by the Company, both in the due diligence phase concerning the concession and corporate aspects, and in the drafting and negotiation of all financial documentation, up to the stipulation and disbursement of the loan.
