3G Capital’s Acquisition of Controlling Interest in Hunter Douglas

Paul, Weiss, Rifkind, Wharton & Garrison, Kirkland & Ellis and Stibbe advised 3G Capital, De Brauw advised Ralph Sonnenberg on the deal. Loyens & Loeff assisted the Sonnenberg family.

3G Capital executed its acquisition of a 75% stake in Netherlands-based Hunter Douglas, the global market leader in window coverings and a major manufacturer of architectural products.

Under the terms of the agreement, Hunter Douglas’s controlling shareholder, Ralph Sonnenberg, will sell his shares in the company to 3G for €175 per ordinary share, implying an enterprise value of approximately $7.1 billion. The Sonnenberg family will continue to hold a 25% interest in Hunter Douglas.

Hunter Douglas’s board of directors has entered into a separate agreement with 3G Capital and Ralph Sonnenberg to facilitate and secure a cash exit for all minority shareholders based on the same price. Completion of the transaction is subject to antitrust approvals. Stibbe is serving as co-counsel to 3G on the deal.
